Terms of Service

These Terms of Service (“Terms”) govern access to and use of molarone.com and the Molarone dental insurance billing automation platform (the “Service”), operated by Molarone Inc. (“Molarone,” “we,” “us”). By creating an account or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the dental practice you represent (“Practice,” “you”). If you do not agree, do not use the Service.

Molarone is a software-as-a-service platform for dental revenue cycle management, including insurance eligibility verification, claims submission and tracking, electronic remittance advice (ERA) processing, and denial management. The Service is provided as-is and may be updated, changed, or improved from time to time.

You are responsible for:

• The accuracy and completeness of the information your Practice submits through the Service;
• Maintaining the confidentiality of account credentials and restricting access to authorized staff;
• All activity that occurs under your Practice’s account; and
• Promptly notifying us of any unauthorized use of your account.

Where your Practice is a HIPAA Covered Entity, Molarone acts as your Business Associate under a Business Associate Agreement (“BAA”) executed alongside these Terms. Your Practice remains responsible for its own HIPAA compliance obligations, including obtaining any necessary patient authorizations, maintaining its own Notice of Privacy Practices, and using the Service consistently with the minimum necessary standard. Molarone will process Protected Health Information (PHI) only as permitted by the BAA and applicable law.

The Service is billed on a subscription basis at the rate presented at signup or in your order form. Subscription fees are billed in advance on a recurring basis and are non-refundable, including for partial billing periods or unused portions of the Service, except where required by law. We may change subscription pricing on renewal with advance notice.

Molarone and its licensors own all right, title, and interest in and to the Service, including its software, design, and underlying technology. These Terms do not grant you any rights to Molarone’s trademarks or branding. As between you and Molarone, your Practice retains all right, title, and interest in the patient and practice data you submit to the Service (“Practice Data”); you grant Molarone a limited license to use Practice Data solely to provide and support the Service.

To the maximum extent permitted by law, Molarone will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Molarone’s total liability arising out of or related to these Terms will not exceed the amounts paid by your Practice to Molarone in the twelve (12) months preceding the event giving rise to the claim.

You may cancel your subscription at any time in accordance with the cancellation process made available in the Service or by contacting us. We may suspend or terminate access to the Service if you materially breach these Terms, including any BAA, and do not cure the breach within a reasonable period after notice. Upon termination, your right to use the Service ends, and we will make Practice Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted in accordance with our data retention practices.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
